Terms of Service

1. Agreement to Terms

By accessing or using Reply Pilot ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Reply Pilot is a social media monitoring and engagement platform that provides the following services:

  • Keyword Monitoring: Track specific keywords across social media platforms including Reddit, LinkedIn, and Twitter/X
  • Brand Mention Tracking: Discover conversations mentioning your brand or products
  • AI-Powered Reply Generation: Generate contextually relevant replies using artificial intelligence
  • Social Listening Dashboard: Centralized view of relevant social media conversations
  • Project Management: Organize monitoring activities by project and keyword

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. User Accounts

3.1 Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at hey@reppilot.xyz if you become aware of any unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to other users, us, or third parties.

4. Subscription and Payments

4.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Free plans have usage limitations including restricted keywords, posts monitored, and AI-generated replies. Paid plans offer increased limits and additional features.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your chosen payment method for all applicable fees. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

4.4 Price Changes

We may change subscription prices at any time. Price changes will take effect at the start of the next billing cycle following notice of the change. Your continued use of the Service after the price change constitutes your agreement to pay the new price.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, unsolicited messages, or engage in harassment
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated scripts to collect information or interact with the Service without authorization
  • Circumvent any rate limits or usage restrictions
  • Use the Service for competitive analysis or to develop competing products
  • Engage in any activity that could damage our reputation or goodwill
  • Violate the terms of service of any third-party platforms we integrate with

6. AI-Generated Content

6.1 Nature of AI Replies

Our Service uses artificial intelligence to generate reply suggestions. These AI-generated replies are provided as suggestions only. You are responsible for reviewing and modifying any AI-generated content before posting it on social media platforms.

6.2 No Guarantee of Accuracy

AI-generated content may contain errors, inaccuracies, or inappropriate suggestions. We do not guarantee the accuracy, completeness, or suitability of any AI-generated content. You use AI-generated content at your own risk.

6.3 Responsibility for Posted Content

You are solely responsible for any content you post on social media platforms, whether created manually or with the assistance of our AI tools. You agree to comply with all applicable platform terms of service when posting content.

7. Intellectual Property

7.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Reply Pilot and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

7.2 Your Content

You retain ownership of any content you create or upload to the Service, including project names, keywords, and custom configurations. By using the Service, you grant us a limited license to use this content solely to provide the Service to you.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

8. Third-Party Platforms

The Service integrates with third-party social media platforms including Reddit, LinkedIn, and Twitter/X. Your use of these platforms is subject to their respective terms of service. We are not responsible for:

  • Changes to third-party platform APIs or terms of service
  • Restrictions or bans imposed by third-party platforms
  • Content or conduct of users on third-party platforms
  • Availability or accuracy of data from third-party platforms

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REPLY PILOT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for all claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Reply Pilot and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property rights
  • Any content you post or share through the Service

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of the Service after any changes to these Terms constitutes acceptance of those changes. If you do not agree to the new terms, you must stop using the Service.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Reply Pilot regarding the Service and supersede all prior agreements and understandings.
